TERMS OF USE AND END USER LICENSE AGREEMENT
1. ACCEPTANCE OF TERMS
Welcome to Meysey Technology Limited ("Meysey Technology," "we," "us," or" our"). By accessing or using the Meysey Technology software service(the "Service"), you agree to comply with and be bound by the following Terms of Use and End User License Agreement ("Agreement").If you do not agree to these terms, please do not use the Service.
2. DEFINITIONS
"Service" refers to the web-based software provided by Meysey Technology Limited.
"User" refers to any individual or entity accessing or using the Service.
"Anomalies" refers to irregularities identified by the Service in the user's financial accounting tools.
3. CONFIDENTIALITY AND PRIVACY POLICY
Meysey Technology Limited takes the confidentiality and privacy of your data seriously. Our Privacy Policy, available here, outlines our practices regarding the collection, use, and disclosure of personal information. By using the Service, you consent to the terms of our Privacy Policy.
4. USE OF THE SERVICE
Users are responsible for providing accurate and up-to-date information to the Service.
Meysey Technology reserves the right to suspend or terminate access to the Service for any user engaging in fraudulent or unlawful activities.
5. ANOMALY IDENTIFICATION
The Service will exclusively analyse data within the User's Xero tenancy, with no other inbound data feeds provided. The Service employs advanced analysis algorithms to identify unexpected anomalies and statistical outliers in the financial and commercial data, aiming to detect potentially fraudulent activities. Additionally, the Service will perform assessments of fraud risk of entities such as customers or suppliers, by utilising external third-party open-source data sources, such as Companies House, to provide a comprehensive evaluation of associated risks.
The analysis conducted by the Service is strictly one-way, meaning no data will be amended, altered, or uploaded back into Xero. Users are responsible for ensuring that all data within their Xero tenancy is accurate, complete, and up-to-date, as the effectiveness of the Service relies on the quality of the data provided. While the Service is designed to enhance the detection of fraudulent activity, users acknowledge that it cannot guarantee the identification of fraud in all instances.
6. DISCLAIMERS AND LIMITATION OFLIABILITY
Meysey Technology Limited disclaims any warranties, whether express or implied, regarding the accuracy, completeness, or fitness for a particular purpose of the Service.
Meysey Technology Limited shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in any way connected with the use or inability to use the Service.
7. INDEMNITY
Users agree to indemnify and hold Meysey Technology Limited harmless from any claims, losses, or damages arising from their use of the Service.
8. GOVERNING LAW
This Agreement is governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the United Kingdom.
9. AMENDMENTS
Meysey Technology Limited reserves the right to amend this Agreement at any time by posting the revised terms on our website. Users are responsible for regularly reviewing the terms.
10. TRIAL SUBSCRIPTIONS
Upon initial registration, you may have the option to enrol in a free trial based on the terms specified at the time. Should you decide to continue using our services after the trial period, you will be charged upon entering your billing details into our services, as explained further in the pricing plan and on our user support platform.
11. PRICING PLANS
Your use of our services generally requires a monthly subscription fee based on your subscription type(the subscription fee). The pricing plan encompasses the subscription and associated fees we have provided, detailing invoicing, payment, auto-renewal, and cancellation terms. The pricing plan may differ by region and includes information outlined in the offer details and pricing page. We reserve the right to update or amend the pricing plan periodically. Changes to the pricing plan, like other alterations to our terms, won't apply retrospectively, and if changes are made while you are a subscriber, we will make reasonable efforts to inform you. Information on changing pricing plans is available on request. Depending on your region, subscription fees may include or exclude transactional taxes, such as VAT and GST, as indicated in the pricing plan.
12. TAXES FOR USE OF SERVICE
You are responsible for paying all external fees and taxes related to your use of our services, wherever applicable. We may collect geographical location information for tax purposes. Therefore, the location information provided must be accurate for tax residency purposes.
13. ADDITIONAL SERVICES
Depending on your location and service utilisation, you may have the option to access additional services offered by our platform, such as crisis response, digital forensic investigation or special projects. These services may incur an extra fee, which will be communicated to you upon signing up for them.
14. TIMELY PAYMENTS
To maintain uninterrupted access to our services, it is crucial to make timely payments according to the selected pricing plan. To prevent delays or missed payments, please ensure that we have accurate payment information. If you are utilising a third-party payment process, such as payment through your accounting software, it is your responsibility to ensure your payments are up to date. Failure to receive timely payments may result in the suspension of access to your subscription until payment is received.
